The instrument, otherwise known as certificate of incorporation, which states the purpose or purposes for which the corporation is being organized, the place of business, the amount of authorized capital stock and a description of the classes of shares if the shares are to be classified, the amount of paid in capital with which it will begin business, the number of directors, the names and addresses of the directors for the first year, and the names and addresses of he incorporators. 18 Am J2d Corp § 36.
