A remedy of an equitable nature afforded to the parties and the privies of parties to written instruments which import a legal obligation, to reform or rectify such instruments whenever they fail, through accident, mistake, or fraud, or a combination of fraud and mistake, to express the real agreement or intention of the parties. 45 Am J1st Reform Inst § 2.
