- A stockholder in fact who because of the failure of a corporate officer or transfer agent is not recorded as a stockholder on the books of the corporation. A term applied in the older period of superadded liability of stockholders to a stockholder who had his stock registered in a fictitious name or in the name of a person not financially responsible in order to avoid liability as a stockholder.
