no arrival, no sale
A stated condition in a contract of sale of goods, meaning that if the goods do not arrive at the destination indicated, the buyer acquires no property in the goods and does not become liable for the purchase price. Cundill v A. W. Millhauser Corp. 257 NY 416, 178 NE 680. It has been held that a contract for goods "to be shipped" by a specified vessel at a price per pound "ex ship," with a provision for a fair allowance if "sea damaged," and saying "no arrival, no sale," does not make the arrival of the goods on the vessel named a condition precedent, where a portion of them are transhipped at an intermediate port because of a disaster to the vessel. See 46 Am J1st Sales § 201.
