A corporate officer, having powers which vary according to statute or the charter and bylaws of the corporation, but who, in the absence of statute, charter, or bylaw to the contrary, is the general manager of corporate affairs with authority to act for the corporation in its business. 19 Am J2d Corp § 1169.
