Broadly, a bona fide holder for value without notice. 11 Am J2d B & N § 397. A holder of a negotiable instrument or document of title who has taken the instrument under the following conditions: that it is complete and regular upon its face; that he became the holder of it before it was overdue, and without notice that it had previously been dishonored, if such was the fact; that he took it in good faith and for value; that at the time it was negotiated to him he had no notice of any infirmity in the instrument or defect in the title of the person negotiating it. Uniform Negotiable Instruments L § 52. A holder who takes a negotiable instrument, document of title, or an investment security, for value, in good faith, and without notice that it is overdue or has been dishonored or of any defense against of claim to it on the part of any person. UCC § 3-305; 11 Am J2d B & N § 397.
